These Terms of Service ("Terms") govern access to and use of the Formael platform (the "Service") provided by Formael, Inc. ("Formael", "we", "us"). By creating an account, accessing the Service, or submitting an intent through any Formael API, you agree to these Terms on behalf of yourself and the organization you represent ("you" or "Customer").
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
1. The Service
Formael is a managed platform that mediates outbound actions taken by AI agents against external systems. The Service includes governance policy evaluation, human approval workflows, connector execution, credential management, and an immutable audit ledger of every action attempted through the platform.
The Service is delivered as software-as-a-service. Formael is not distributed as source code. Customer does not receive a license to copy, modify, or self-host the platform.
2. Accounts and Access
Account Creation
You must provide accurate and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account, including activity initiated by AI agents you authorize.
Roles and Permissions
The Service supports organizational roles (Owner, Admin, Member, Viewer) and programmatic credentials. Customer is responsible for assigning roles and credentials appropriately within its organization.
Authorized Use
You may use the Service only for lawful business purposes and in compliance with these Terms, the documentation, and any acceptable use policy referenced from this page.
3. Acceptable Use
You may not, and may not configure your agents to:
- Violate any applicable law or third-party right
- Submit content or actions that are unlawful, infringing, defamatory, or abusive
- Attempt to bypass, disable, or interfere with the policy engine, audit ledger, credential vault, or other security controls of the Service
- Use the Service to gain unauthorized access to any system or to perform actions on systems for which you do not have authorization
- Use the Service to generate excessive load that materially impairs the Service for others
- Reverse-engineer the Service or any part of it, except to the extent applicable law expressly permits
- Resell or sublicense the Service as a standalone offering without a written agreement with Formael
You are responsible for the actions submitted by every agent you authorize, including actions submitted on your behalf by autonomous systems.
4. Customer Data
Definition
"Customer Data" means data submitted by you or your agents to the Service, including intent payloads, configuration, policies, approvals, and the resulting Intent Execution Cycle records.
Ownership
You retain all rights to Customer Data. Formael does not claim ownership of any Customer Data and does not use Customer Data to train shared machine learning models.
License to Operate the Service
You grant Formael a limited, worldwide license to host, process, transmit, and display Customer Data solely as necessary to provide and secure the Service for you.
Provider Credentials
You are responsible for ensuring that any third-party provider credentials you configure in the Service are obtained lawfully and may be used by Formael to execute actions you authorize. Credentials are stored encrypted and decrypted only at execution time.
5. Third-Party Systems
The Service connects to third-party systems ("Provider Systems") at your direction. Each Provider System is governed by its own terms. Formael is not responsible for the availability, behavior, or terms of Provider Systems, and your use of them through the Service is at your own risk and subject to those providers' agreements.
6. Fees
Fees, plan limits, and billing terms are described in your order, the pricing page, or a written agreement between you and Formael. Unless otherwise stated, fees are non-refundable. You are responsible for applicable taxes other than those based on Formael's net income.
7. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service with reasonable care and use it only to perform under these Terms. Customer Data is treated as your Confidential Information.
8. Intellectual Property
The Service, including the platform software, documentation, designs, marks, and any improvements, is and remains the property of Formael and its licensors. No rights are granted to you except those expressly stated in these Terms.
9. Disclaimers
Except as expressly stated, the Service is provided "as is" and "as available." Formael disclaims all implied warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
The Service governs and executes actions you and your agents direct it to take. Formael does not warrant that any specific autonomous agent built by you or by a third party will produce correct, safe, or business-appropriate intents. Designing safe agents and configuring appropriate policies is your responsibility.
10. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, or data, arising out of or related to these Terms, even if advised of the possibility of such damages.
Each party's aggregate liability arising out of or related to these Terms will not exceed the fees paid by you to Formael in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You will defend and indemnify Formael against third-party claims arising from your use of the Service in violation of these Terms, your Customer Data, or actions submitted by agents you authorize. Formael will defend you against third-party claims that the Service as provided infringes a valid intellectual property right, subject to standard commercial conditions.
12. Term and Termination
These Terms apply for as long as your account is active. Either party may terminate for material breach not cured within thirty (30) days of written notice. Formael may suspend or terminate accounts that pose a security or legal risk to the Service or to other customers.
On termination, your right to access the Service ends. Audit records may be retained as required by law or as described in your order.
13. Modifications
We may update these Terms from time to time. Material changes will be communicated through the platform or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the jurisdiction stated in your order or, in the absence of such a statement, the jurisdiction in which Formael is incorporated, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts located there.
15. General
These Terms, together with any order and any documents referenced from them, constitute the entire agreement between the parties regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. Neither party may assign these Terms without the other's consent, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets.
